Terms of Service

1. Acceptance of Terms

By accessing, downloading, or using Praesidium Network (the "Platform"), you ("User," "you") agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing the Platform.

These Terms constitute a legally binding agreement between you and Praesidium Network ("Company," "we," "us," or "our"). We reserve the right to update these Terms at any time, and your continued use of the Platform constitutes acceptance of any modified terms.

2. Eligibility

To use Praesidium Network, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into a binding contract
• Not be prohibited from receiving services under applicable law
• Provide accurate and complete information during registration

The Platform is intended for use by security professionals, contractors, recruiters, and contracting organizations. Use by minors or for purposes inconsistent with the Platform's intent is prohibited.

3. User Accounts

When you create an account on Praesidium Network, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activity that occurs under your account
• Immediately notify us of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that we determine, at our sole discretion, violate these Terms or misrepresent credentials, experience, or clearance levels.

4. Services

Praesidium Network provides an online marketplace connecting security contractors ("Operators") with opportunities posted by recruiters and contracting organizations ("Recruiters"). The Platform facilitates connections but is not a party to any employment, contracting, or service agreement between Operators and Recruiters.

We are not a staffing agency, employment agency, or employer. We do not guarantee employment, contract awards, or any specific outcomes from use of the Platform. Any agreements reached through the Platform are solely between the parties involved.

We offer two service tiers:

• Free Tier: Basic access to job listings, limited profile visibility, and core platform features.
• Pro Tier ($14/month): Full job board access, priority alerts, enhanced profile visibility, and no advertisements.

5. User Conduct

You agree not to use the Platform to:

• Post false, misleading, or fraudulent information about yourself or any opportunity
• Impersonate any person or entity or misrepresent your affiliation
• Upload or transmit classified, controlled, or sensitive government information
• Solicit users for services outside the Platform in violation of these Terms
• Harass, threaten, or intimidate other users
• Engage in any illegal activity or facilitate illegal conduct
• Attempt to gain unauthorized access to the Platform or other users' accounts
• Use automated tools to scrape, crawl, or extract Platform data without permission
• Post job listings for illegal, fraudulent, or predatory purposes

Violations may result in immediate account termination and, where appropriate, referral to law enforcement.

6. User Content

By posting content on Praesidium Network (including profiles, job listings, messages, and any other materials), you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute such content as necessary to operate and improve the Platform.

You represent and warrant that:

• You own or have the right to post the content
• The content does not infringe any third-party rights
• The content is accurate and not misleading
• The content does not contain classified or sensitive government information

We reserve the right to remove any content that violates these Terms or that we determine, at our sole discretion, is inappropriate for the Platform.

7. Payments & Billing

Pro tier subscriptions are billed monthly at the rates listed on our Pricing page. All payments are processed securely through Stripe. By providing payment information, you authorize us to charge your payment method on a recurring monthly basis.

• Cancellation: You may cancel at any time. Access continues until the end of the current billing period.
• Refunds: Subscription fees are generally non-refundable. Refund requests for service failures will be evaluated on a case-by-case basis.
• Price Changes: We will provide at least 30 days' notice before changing subscription prices.
• Failed Payments: If payment fails, we will attempt to process the charge again. After multiple failures, your account may be downgraded to the Free tier.

8. Intellectual Property

All content, design, logos, trademarks, and software comprising the Praesidium Network Platform are owned by or licensed to Praesidium Network and are protected by applicable intellectual property laws. You may not use our branding, trademarks, or proprietary content without express written permission.

Nothing in these Terms transfers ownership of any intellectual property rights to you. Your use of the Platform does not grant you any rights to our intellectual property beyond the limited license to use the Platform as intended.

9. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Platform will be uninterrupted, error-free, or secure
• Job listings are accurate, complete, or will result in employment
• Operators' stated qualifications or clearances are accurate
• Any particular outcome will result from use of the Platform

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PRAESIDIUM NETWORK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Termination

We may suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. Upon termination:

• Your right to use the Platform immediately ceases
• We may delete your account data in accordance with our Privacy Policy
• Any outstanding subscription obligations survive termination

You may terminate your account at any time by contacting us through the Contact page or through your account settings.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which Praesidium Network is incorporated, without regard to conflict of law provisions. Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, except where prohibited by law.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last updated" date at the top of this page and, where appropriate, sending an email notification to registered users. Your continued use of the Platform after changes become effective constitutes acceptance of the updated Terms.
